Terms of Service

Welcome to Magic Data (the “Application”), a product developed and operated by Magic Code Labs, LLC (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of Magic Data. By accessing or using the Application, you agree to be bound by these Terms. If you do not agree, do not use the Application.

1. Overview of the Service

Magic Data enables users to Authenticate and connect to various data resources such as Google BigQuery, PostgreSQL, Google Cloud Platform services, AWS, Redshift, Snowflake, and other third-party systems. You can use Magic Data toanalyze and understand the structure of that data, use AI-powered features to query, summarize, transform, move, or replicate data, build and deploy data pipelines across cloud and database environments. Magic Data may leverage both proprietary AI and third-party large language models (LLMs), including OpenAI, Google Gemini, or others.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. If you use Magic Data on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. User Data Access and Credential Responsibility

By using Magic Data, you acknowledge and agree that:

  • You are freely and voluntarily authorizing access to your own data systems;

  • You have the necessary rights and permissions to connect to and interact with these systems;

  • You grant Magic Data the ability to read, analyze, move, and store data across your connected resources as required to deliver the service;

  • Magic Data may store your credentials (such as access tokens, service account keys, or database credentials) in order to provide persistent access to your data systems;

  • Magic Code Labs, LLC will make commercially reasonable efforts to safeguard stored credentials using industry best practices;

  • You are solely responsible for managing and revoking access to these resources from your end, including disabling or rotating credentials if needed.

Strong Recommendations:

  • Use of Firewalls: We strongly recommend that you restrict your data systems to only allow traffic from IP addresses used by Magic Data. You may request a current list of our service IPs for whitelisting.

  • Use of Provisioned Credentials: We strongly recommend that you connect using separately provisioned service credentials (such as service account JSON files or user roles) with the minimum required permissions for your use case. We strongly recommend not using admin credentials or personal user accounts.

4. AI Services and Third-Party Providers

Magic Data may process your queries and metadata through, Magic Code Labs’ proprietary AI systems and/or third-party providers such as OpenAI, Google Gemini, etc.

By using the Application, you agree that:

  • Some data and user input may be transmitted to these third-party AI providers, and their usage is subject to their respective privacy policies and terms of service;

  • Magic Code Labs, LLC disclaims liability for the behavior or output of third-party AI models;

  • You are responsible for reviewing and ensuring compliance with any third-party terms as applicable to your organization.

5. Data Storage and Transfer

Magic Data may store temporary or persistent copies of data, metadata, or transformation logs as required to facilitate query execution, pipeline construction and monitoring, optimization and caching, internal debugging and model improvement, and other product features.

By using the service, you accept the risks inherent in any cloud-based or internet-enabled system and agree that Magic Code Labs, LLC is not responsible for unauthorized access arising from your own system misconfiguration or third-party compromise.

6. Acceptable Use Policy

You agree not to:

  • Use the Application in any manner that violates laws or infringes third-party rights;

  • Attempt to gain unauthorized access to any data or systems;

  • Use admin or root-level credentials where service credentials with least-privilege access would suffice;

  • Use the AI functionality to create, share, or disseminate misleading, harmful, or illegal content;

  • Reverse engineer, probe, or otherwise interfere with the Application’s security mechanisms.

We reserve the right to suspend or terminate your access if we detect abuse or policy violations.

7. Intellectual Property

Magic Data and all related software, algorithms, interfaces, and documentation are the exclusive property of Magic Code Labs, LLC. No rights are granted except as explicitly provided.

You retain ownership of your data, queries, and pipeline logic. By using the Application, you grant us a non-exclusive, limited license to process, store, and use your data for the sole purpose of delivering the services described herein.

8. Termination

You may stop using the Application at any time. We may suspend or terminate your access at our discretion, especially for breach of these Terms or security concerns.

Upon termination, we will make reasonable efforts to delete stored credentials and data, except where retention is required by law or for internal compliance purposes.

9. Disclaimers

The Application is provided “as is” and “as available,” without warranty of any kind. Magic Code Labs, LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the accuracy or completeness of AI-generated outputs and advise users to validate results before taking critical action.

10. Limitation of Liability

To the fullest extent permitted by law, Magic Code Labs, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Application.

Our total liability shall not exceed the greater of: (a) the amount paid by you in the 12 months preceding the claim, or (b) $100 USD.

11. Changes to These Terms

We may modify these Terms at any time by posting the updated version. Material changes will be communicated via the Application or email. Your continued use after changes means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles.
